Role summary
The KDN Office of General Counsel (OGC) is responsible for managing the organization's global legal and regulatory risk and supporting our business functions and other corporate services in delivering on our commitments as an accelerator to KPMG's Global Collective Strategy. The OGC is seeking an experienced lawyer focused on corporate governance and compliance matters who will help lead our legal governance program. The successful candidate will work closely with the General Counsel and other members of the OGC on Board matters (parent and subsidiary) across a range of jurisdictions and support our corporate compliance requirements. This role requires a self-starter who is able to work independently with minimal supervision, has sophisticated communication skills to work with senior leaders and understands when to escalate issues within the OGC.
How will you make your mark?
- - In conjunction with the General Counsel, lead the organisation’s parent and subsidiary corporate governance program
- - Manage KDN’s compliance with all local legal and regulatory requirements (with the assistance of local counsel as needed)
- - Make all UK filings and registrations and manage filings and registrations in other jurisdictions
- - Maintain KDN’s corporate records database and keeping up-to-date on deadlines and other requirements
- - Assist with Board meeting preparations including organising meetings, preparing notices and resolutions along with supporting materials
- - Help lead subsidiary Board meetings (under each Chairperson)
- - Researching corporate governance and regulatory compliance issues and provide succinct answers to questions
- - Manage the organisation’s signing and other authorities (e.g., banking) and ensure all records are accurate and maintained
- - Track various information on the KDN group companies in accordance with KPMG International's requirements
- - Manage KDN’s ultimate beneficial ownership requirements and update all local UBO filings in a timely manner
- - Assist with KDN’s annual financial audits (group and individual company)
- - Organise transaction documents, signatures, closings and Sharepoint files
- - Advise and assist on regulatory initiatives (e.g., UK Modern Slavery statement)
- - Maintain and update the KDN OGC intranet sites
This is the job for you if you have
- - Substantial experience leading/ supporting an organization's corporate governance and regulatory compliance program or advising clients on such issues in a major law firm context - Has all requisite licenses and designations
- - Proficiency in MS Office programs, Teams and SharePoint
- - Excellent communication skills (written and verbal) including the ability to communicate with senior leadership
- - Highly organized and detail oriented with an ability to manage multiple tasks and deadlines
- - Able to work independently with limited supervision while exercising good judgment on escalations
- - Proactive and self-motivated
- - Experience managing a high-intensity workload
- - Fluent in English
Please note that this role is primarily a remote working position with limited mandatory attendance at KPMG's London office.
